Cancellation of the Annual General Meeting

In the December 31, 2011 financial statements KHD Humboldt Wedag International AG (KHD) noted restrained group revenue expectations for 2012 and that the company would most likely not reach the 2011 EBIT margin level of 7.5 %.
Today the Management Board and the Supervisory Board decided to propose a dividend payment of € 0.12 per non-par-value share entitled to a dividend, at the Annual General Meeting. The total dividend payout amounts to € 5,936,932.44.
Within the context of the proposed reduction of the number of Supervisory Board members and as already published per ad hoc on May 31, 2012, the Chairman and the Deputy Chairperson of the Supervisory Board of KHD Humboldt Wedag International AG have resigned from their offices effective as of May 31, 2012. Today the Supervisory Board elected Heinz Otto Geidt as the new Chairman and Eliza Suk Ching Yuen as Deputy Chairperson.
The Management Board and the Supervisory Board will propose an amendment to the articles of association (reduction of the number of members of the Supervisory Board from six to three persons and reduction of the remuneration for the members) at the Annual General Meeting, which is intended to be held on July 27, 2012.
Leading Russian cement producer EUROCEMENT placed an order for more than € 80 million with KHD for a new cement plant to be built in Stavropol, Russia. The Moscow-based EUROCEMENT group is among the top ten cement producing companies in the world.
Straits Cement, a 100% subsidiary of the Malaysian YTL Group, has awarded KHD with a € 100 million contract to build a new, fully integrated cement production facility with a capacity of 5000 tons of cement per day and will be located near Kuantan, Malaysia, approximately 260 kilometers east of Kuala Lumpur.
